1. Reservations
A contract is concluded between the organizer and Wilerbad when

a. an offer from Wilerbad has been confirmed in writing by the organizer
b. a request from the organizer has been reconfirmed in writing by Wilerbad

Changes to the content of the contract are only binding when confirmed in writing by Wilerbad.

To enter into a contract with Wilerbad, the contracting partner must be at least 18 years old and capable of acting and making judgments.

1.1 Offers
The acceptance period for offers from Wilerbad is 10 days, unless another period has been agreed. After that, Wilerbad is no longer bound by the offer. Wilerbad reserves the right to withdraw from an offer for important reasons.

1.2 Options
Options are binding for both partners during the agreed option period. After the option period has expired, Wilerbad reserves the right to dispose of the reserved dates and services.

2. Changes in the number of participants
The organizer is obliged to inform Wilerbad of any changes regarding the number of participants as early as possible. Wilerbad is generally committed to reallocating unused reservations under the same conditions. If successful, no costs will be charged to the organizer.

2.1 The final and binding number of participants must be communicated to Wilerbad at least 3 days before the event date. This information forms the basis for billing. If more participants attend the event than reported, the actual number of participants will be bindingly calculated. If the number of participants is reduced by more than 5% compared to the bindingly reported number of participants, the organizer will be charged 100% of the agreed services for each participant not present.

2.2 If the number of participants is reduced by more than 10% compared to the number of participants agreed in the reservation confirmation, Wilerbad will charge the following costs for each participant not present:

– up to 30 days before the event no costs
– 29 to 10 days before the event 50% of the agreed services
– 9 and fewer days before the event 100% of the agreed services

3. Cancellation by the organizer
3.1 Cancellations of events must be communicated to Wilerbad as early as possible and in written form. The following cancellation costs apply for cancellations of seminars, conferences, and room reservations from 6 rooms:

– up to 90 days before the agreed date complete cancellation possible
– 89 to 45 days before the agreed date 25% of the reserved services
– 44 to 30 days before the agreed date 50% of the reserved services
– 29 to 10 days before the agreed date 80% of the reserved services
– from 9 days before the agreed date 100% of the reserved services
– during the event 100% of the reserved services

The following cancellation costs apply for cancellations of banquets and caterings:
– up to 90 days before the event complete cancellation possible
– up to 89 days before the event 50% of the confirmed services
– from 30 days before the event 100% of the confirmed services

3.2 Cancellations of reservations up to 5 rooms are possible without cost to the organizer up to 48 hours before arrival. In the case of a later cancellation or early departure, 100% of the agreed room price for the first / following night of the originally booked stay will be charged.

3.3 If the reserved services (menu and drinks) have not yet been specifically determined, CHF 80.00 per person applies as the calculation basis.

4. Cancellation by the individual guest

4.1 For bookings up to 5 rooms, the following cancellation conditions apply:
– Free cancellation until 3:00 p.m. on the day before arrival
– In the case of a later cancellation or early departure, 100% of the agreed room price for the first / following night of the originally booked stay will be charged.
– In the case of a no-show, 100% of the booked services will be charged

4.2 For bookings of more than 5 rooms, the following cancellation conditions apply:
– Free cancellation up to 14 days before arrival
– 13 to 7 days before arrival 50% of the agreed room prices
– 6 to 0 days before arrival 80% of the agreed room prices

5. Cancellation by Wilerbad
5.1 If Wilerbad has justified reasons to believe that the event or arrangement could endanger the smooth business operations, safety, or reputation of the hotel business, or if the agreed deposit modalities according to clause 9.1 of these terms and conditions have not been adhered to by the organizer, Wilerbad is entitled to dissolve the reservation agreement at any time without compensation. The organizer cannot assert any claims for damages against Wilerbad in any case.

6. Duration of use of premises and rooms
6.1 The duration of use of the premises for the organizer is recorded in the offer as well as in the reservation confirmation. Outside these times, Wilerbad can freely dispose of the premises at any time.

6.2 Reserved rooms that are not occupied by 6:00 p.m. on the day of arrival can be allocated by Wilerbad to others. This does not apply if a later arrival time has been expressly agreed, the reservation has been confirmed with a credit card number, or a prepayment has been made.

6.3 Evening events end with the official police hour at 12:30 a.m. If the event is extended beyond this set time, the organizer will be charged an extension fee of CHF 4.00 per person per hour of the bindingly reported number of participants according to clause 2.1 of these terms and conditions.

7. Room rental
For banquets, no room rental is usually charged, except in the Wilerbädli. In the Wilerbädli, there is a separate rental contract with the general terms and conditions.

8. Bringing food and drinks
Bringing food and drinks is generally not allowed. Exceptions require a written agreement with Wilerbad.

9. Payment terms
Invoices from Wilerbad are due within 10 days from the invoice date without deduction.

9.1 Wilerbad reserves the right to request a deposit of 50% of the agreed services or another individually agreed prepayment. For reservations with a foreign billing address or reservations from abroad, a deposit of 100% of the reserved services may be required. If the organizer is in default with the payment of the deposit, Wilerbad is entitled to withdraw from the contract according to clause 5.1 of these terms and conditions. The deposit will be offset in any case according to clauses 3.1 to 3.3 of these terms and conditions.

10. Liability
10.1 Wilerbad is liable to the customer for intentional or grossly negligent contractual or non-contractual damage. The burden of proof lies with the customer. Liability for damage caused by slight negligence as well as liability irrespective of fault is excluded.

10.2 Regarding items, clothing, or materials brought in by the customer, organizer, speakers, participants, or third parties, Wilerbad disclaims any liability for theft and damage. This also applies to vehicles parked in the hotel parking lots.

10.3 The customer is liable to Wilerbad for all damages and losses caused by him or his assistants, guests, or participants, without Wilerbad having to prove fault on the part of the customer.

10.4 For third-party services, Wilerbad acts in the name and on behalf of the customer. The customer is liable for the care and proper return and indemnifies Wilerbad from claims.

11. Applicable law / Jurisdiction
Swiss law exclusively applies to reservation agreements including general provisions and any additional agreements, as well as to contracts concluded on their basis. The exclusive place of jurisdiction for all disputes arising from these terms and conditions is Sarnen.

12. Final provisions
12.1 Price changes are reserved at any time.

12.2 Changes to these general terms and conditions must be made in writing.
